We have an exciting opportunity to join our Legal team as Vice President, Corporate Counsel focused on Information Technology and Group Purchasing Operations.

Under the direction of the General Counsel, the Vice President, Corporate Counsel acts as legal advisor and manages a variety of legal matters pertaining to information technology and group purchasing operations. The Vice President, Corporate Counsel will draft, review and negotiate, as necessary, a variety of complex contracts. This role will also provide legal counsel, guidance and representation to the Company and its affiliated healthcare operations, as requested, on complex legal and operational issues regarding its corporate operations, various information technology systems, purchasing relationships, and other areas as needed.

Primary Duties and Responsibilities

  • Advise on corporate operations, general corporate transactions, regulatory and compliance issues regarding information technology and group purchasing operations.
  • Provides legal review and/or advice to corporate administration.
  • Participates in the development of system policies and procedures.
  • Reviews contracts; negotiates and facilitates transactions.
  • Supervises and directs outside legal counsel in performance of legal services.
  • Interfaces with all corporate departments to provide advice on legal issues.
  • Assists with compliance investigations as needed. Coordinates with Compliance Department.
  • Participates in activities that increase legal knowledge, professional expertise, and the delivery of quality legal services.
  • Conducts educational sessions, prepares compliance plans, prepares and facilitates implementation plans.
  • Requests and utilizes interdepartmental services as they pertain to the provision of legal services; establishes and maintains working relationships with all department personnel relative to legal service function.
  • Assists in development of methods for achieving goals such as competitive bids and form agreements; reviews legal resources and system policies within legal limits.
  • Uses skill, knowledge and experience to assist company in amicably resolving disputes with third parties.
  • Prepares and interprets corporate documents, information technology and licensing documents, leases and real estate documents.

Qualifications

Education:

  • Juris Doctor from an accredited law school and current license to practice law.

Experience:

  • A minimum of 6 years' experience in information and technology contracts and relationships, group purchasing arrangements, licensing agreements, and intellectual property.
  • A general knowledge of healthcare law, including but not limited to, HIPAA, Stark, ACA, fraud and abuse, and healthcare regulatory compliance.
  • Experience with legal issues associated with the implementation, maintenance and expansion of EPIC System or other health information technology solution.
  • If not currently in private practice, previous law firm experience a plus.
